Agreement to Terms

By subscribing to and using the services offered by FOOD TRUCK NERDZ, LLC ("we," "us," or "our"), you ("Subscriber" or "you") agree to be bound by these Terms of Service ("Terms"). These Terms govern your subscription and use of our services, which are designed to provide technology-related services to food truck businesses, potentially including a location tracker and future expansions such as automated social media posting and management of other technology aspects.

Subscription and Payment

• Subscription Services: We offer subscription services tailored to the needs of food truck operators. The primary service currently envisioned is a location tracker that broadcasts the food truck's real-time location. We may offer additional services in the future, such as automated social media posting and management of other technology aspects relevant to food truck businesses. Please refer to our pricing page for details on current subscription plans and features.
• Billing and Payment: By subscribing to our services, you agree to pay the fees associated with your chosen subscription plan. Payments will be processed through our designated payment processor. You authorize us to charge your payment method on a recurring basis (e.g., monthly or annually) according to your subscription cycle until you cancel your subscription.
• Taxes: You are responsible for any applicable sales, use, or other taxes related to your subscription.
• Changes to Pricing: We reserve the right to change our subscription fees at any time. We will provide you with reasonable notice of any changes to pricing.
• Cancellation: You may cancel your subscription at any time through your account settings or by contacting our customer support. Cancellation will be effective at the end of your current billing period, and you will not receive a refund for any unused portion of your subscription.

Use of Service

• Account Registration: To access our services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• Permitted Use: You agree to use our services only for lawful purposes and in accordance with these Terms. You will not use our services in any way that could damage, disable, overburden, or impair our systems or security.

Intellectual Property

The services and all content and software associated therewith, including but not limited to logos, designs, text, graphics, and software, are the property of FOOD TRUCK NERDZ, LLC or our licensors and are protected by copyright and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the services for your internal business purposes during your subscription period.

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FOOD TRUCK NERDZ, LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR SUBSCRIPTION OR USE OF OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Termination

We may terminate or suspend your subscription and access to our services at any time, with or without cause, upon notice to you. Upon termination, your right to use the services will immediately cease.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Tennessee, without regard to its conflict of law principles.
